Terms and Conditions – Advertising with Palma Network
Palma Network is the media and advertising division of Europe Media Ventures Ltd, a private limited company registered in England and Wales under company number 15856659, with its registered office at 128 City Road, London, United Kingdom, EC1V 2NX. Our headquarters are located in Miami, USA, while all advertising operations are managed from London. These Terms and Conditions govern all advertising agreements between you (the “Client”) and Palma Network.
1. Purpose and Scope of Services
Palma Network offers advertising services designed to increase the visibility of brands, businesses, and individuals across digital channels, including social media, websites, and content networks. We operate exclusively on a prepaid basis. No guarantees are made or implied regarding specific outcomes such as reach, engagement, conversions, or revenue.
2. Prepaid Advertising Only
All advertising services are provided strictly on a prepaid basis. Campaigns will only commence once full payment has been received and confirmed. No work will start without full payment of an onboarding fee. We do not offer credit terms, post-payment options, or refunds after payment under any circumstances.
3. Insertion Orders for Larger Campaigns
For campaigns with larger budgets, a signed Insertion Order (IO) is required before any work is initiated. Without a fully executed IO, Palma Network reserves the right to postpone or cancel any campaign preparations.
4. No Guarantee of Results
All campaigns are executed on a best-effort basis. Palma Network does not guarantee the achievement of any particular performance targets. External factors, such as algorithm changes, audience behavior, and platform policies, can affect results and are beyond our control.
5. Third-Party Platform Compliance
When advertising on third-party platforms (e.g., Facebook, Instagram, TikTok, YouTube), the Client is responsible for ensuring that all submitted content complies with the respective platform’s advertising policies and community guidelines. Palma Network is not liable for ads rejected, removed, or penalized by third-party platforms.
6. Right to Refuse Campaigns
Palma Network reserves the right to refuse, cancel, or remove any campaign or content at its sole discretion, especially if the material is deemed illegal, inappropriate, non-compliant with applicable laws and regulations, or inconsistent with our brand standards, ethics, or values. We are under no obligation to accept any campaign.
7. Client Responsibility for Legal Compliance and Product Claims
The Client is solely responsible for ensuring that their advertisements, products, services, and all associated claims fully comply with all applicable local, national, and international laws and regulations in the countries where the ads are shown. The Client is also responsible for ensuring that their advertised products and services function as promised. Palma Network accepts no liability for any legal violations, false claims, product failures, or regulatory penalties.
8. Refund and Cancellation Policy
We do not offer refunds of any kind. All payments made to Palma Network are final and non-refundable, including cases of underperformance, early termination, or external platform actions. If a campaign is canceled or paused after onboarding and partial work execution, any funds received will be retained. In select cases, Palma Network may work on a retainer basis for larger campaigns. If campaigns under retainer agreements are canceled or paused, no refunds are issued for any unutilized budget or retainers already paid.
9. Pricing Adjustments
Palma Network reserves the right to review and adjust pricing structures periodically to account for increased operational costs, market shifts, or platform pricing changes. Ongoing campaigns will receive written notice if any adjustments are necessary.
10. Content Responsibility
The Client is fully responsible for the legality, accuracy, and appropriateness of all submitted advertising materials. Palma Network reserves the right to reject, modify, or remove content that is inappropriate, misleading, harmful, or inconsistent with our standards and values.
11. Governing Law and Jurisdiction
These Terms and Conditions are governed by the laws of England and Wales. Any disputes will be exclusively settled in the courts of England and Wales.
